Healthcare Provider Registration Agreement
Complete terms and conditions for healthcare providers joining the FlyAwayHealth platform
1. Parties and Definitions
Platform: FlyAwayHealth ("FAH"), an online platform connecting patients with healthcare providers.
Provider: The clinic, hospital, or healthcare institution registered with FAH.
Patient: The individual applying to receive healthcare services through FAH.
2. Subject and Scope of the Agreement
The purpose of this Agreement is to set forth the principles regarding the referral of applications submitted by individuals seeking healthcare services through the FAH platform to the Provider.
FAH does not provide any healthcare services; it only shares the applications of individuals with the Provider.
3. Obligations of the Provider
The Provider shall provide accurate, up-to-date, and complete information to FAH and to any party contacted through FAH.
The Provider shall update the FAH system without delay and notify FAH in writing of any changes in licenses, permits, accreditations, or other qualifications.
The Provider shall present patients with a transparent, accurate, and comprehensible treatment plan and pricing.
The Provider shall comply with all applicable laws and regulations (HIPAA, GDPR, KVKK, and other relevant regulations) regarding the protection of patient data.
4. Obligations of the Platform
FAH shall forward to the Provider the applications of individuals who have completed the form for the purpose of receiving healthcare services.
FAH shall provide the Provider with access only to the information of applicants.
FAH's obligations are limited to enabling the match between the applicant and the Provider and providing access to the relevant information; FAH has no obligation regarding the promotion or marketing of the Provider.
5. Fees and Payment Terms
FAH shall charge a subscription fee from the Provider. FAH reserves the right to unilaterally amend subscription fees at any time.
In addition to the subscription fee, FAH also reserves the right to charge a commission covering the period from the patient's admission until discharge.
6. Disclaimer of Liability
FAH shall not be held responsible for any medical diagnosis, treatment, or healthcare services and does not provide any guarantee in this regard.
The provision of healthcare services is entirely under the responsibility of the Provider.
FAH is solely responsible for facilitating the connection between the patient and the Provider.
7. Confidentiality and Data Protection
FAH shall share patient data only for the purpose of matching with the Provider.
The Provider shall comply with HIPAA, GDPR, KVKK, and all other applicable data protection laws and regulations.
The Provider acknowledges and undertakes that the responsibility for protecting patient data lies entirely with the Provider, arising directly from applicable law, and that these obligations are fully met.
8. Term and Termination
This Agreement shall enter into force upon the Provider's registration with the FAH system.
In the event of a breach of the provisions of this Agreement by either Party, the other Party may unilaterally terminate this Agreement.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Delaware.
Disputes arising between the Parties shall primarily be resolved through amicable negotiation; if not possible, the courts of Delaware shall have exclusive jurisdiction.
10. Miscellaneous Provisions
The Parties are independent; this Agreement does not establish an employer-employee relationship between the Parties.
Any amendments to this Agreement shall be valid only if made in writing.
The electronic acceptance of this Agreement shall be deemed equivalent to a wet-ink signature.
Important Notice
This agreement becomes effective upon your registration with the FAH system. Either party may terminate this agreement in case of breach. The agreement is governed by Delaware State law with exclusive jurisdiction in Delaware courts.
